Woking Mountaineering Club
Constitution and Rules
1.Name
1.1 The name of the
Club shall be the Woking Mountaineering Club, (WMC)
2.
Objectives of the Club
2.1 To promote the
interests of climbing and mountaineering amongst members
WMC.
2.2 To provide an
opportunity for members of WMC to meet and participate
in climbing and mountaineering activities together.
2.3 To act on behalf
of and in the interests of Club members.
2.4 To promote
awareness of the need to maintain access, conservation
and protection of the cliff and mountain environment.
2.5 To take part in
the work and activities of the British Mountaineering
Council (BMC).
3.
Membership of the Club
3.1 Membership of WMC
shall only be open to people aged 18 or over on
completion of a membership form.
3.2 In addition to
3.1 membership of WMC shall only be open to individuals
who recognise that climbing and mountaineering are
activities with a danger of personal injury or death.
Members shall be aware of and accept these risks and
agree to be responsible for their own actions and
involvement.
3.3 Members of WMC
are expected to use huts and other facilities used by
WMC responsibly and in accordance with the rules of
their owners.
3.4 Annual membership
is due January 1st
and lapses December 31st
each year.
3.5 Membership of WMC
carries entitlement to a single voting right and BMC
club insurance cover (whilst the club participates in
this scheme).
3.6 Guests, as
prospective club members, are allowed on club meets for
a trial membership of 3 meets in any one year. For each
meet an additional fee of 1/3rd
the membership fee or approx as agreed by
the committee, is payable, this forms their full
membership subscription.
4.
Committee of the Club
4.1 The Club shall be Managed
by the Club Committee, hereinafter referred to as "the
Committee".
4.2 The
Committee shall consist of elected Officers of the Club.
4.3 The
elected Officers of the Club shall be the President, the
Secretary, and the Treasurer.
4.4 The
Officers will be elected at an AGM each year by a majority
vote following proposal and seconding by Club Members
present.
4.5 The
Committee may co-opt non voting Club Members if required.
4.6 The
President of the Club will ensure the smooth running of the
Club in accordance with the Constitution and Rules.
4.7 The
Secretary will be responsible for maintaining records of
Membership of the Club, reporting & Club affiliation to the
BMC, booking & arranging Club Meets, managing the email
distribution list, responsible for all correspondence
relating to club affairs, announcing meetings including the
AGM and distribution of minutes and shall report on these
issues to the AGM.
4.8 The
Treasurer shall account for any income and expenditure made
on behalf of the Club and will present a written account of
the club funds to the AGM for the past financial year.
4.9 The
Committee will be aware of and a representative may attend
BMC meetings & AGM to represent the views of the Membership.
5.
Management of the Club
5.1 The
Club financial year is January 1st
to December 31st,
inclusive.
5.2 The
AGM will be held in the January following the end of the
financial year, the Secretary will give at least 14 days
notice of such a meeting and its agenda. Items for inclusion
should be submitted at least 7 days prior to the AGM. An AGM
will require 20% of all fully paid up club members to
constitute a Quorum.
5.3 An
EGM requires the same notice of an AGM; it requires 50% of
all fully paid up club members to constitute a Quorum.
5.4 A
quorum for a meeting of the Committee shall be half of the
elected voting members and meetings will be held when
required.
5.5 Club
cheques will require one signatory.
6. Club
Subscriptions
6.1 The
Committee shall have the power to set membership and meet
subscription levels for the Club on an annual basis to
ensure the Club remains a viable, non-profit making
organisation. The proposed new fees shall be notified to all
members before becoming effective.
7.
Rules of the Club
7.1 The
Committee shall have the power to set Club rules. Such rules
shall be in accordance with the articles of the Club's
Constitution and the policies of the BMC.
8.
Amendments to the Constitution of the Club
8.1This
Constitution may be amended at an AGM or EGM by a two-thirds
majority. Notice of any amendment must be delivered to the
Secretary at least 14 days prior to the AGM.
9.
Dissolution of the Club
9.1 The
Club can be dissolved by two-thirds majority vote carried
out in accordance with Article 9 whereupon the Committee
will arrange to discharge any assets equally amongst the
Members. Any liabilities at the time of dissolution shall be
the joint responsibility of all Members.
